Mr. Cushner and his family members maintain personal positions in certain select securities with low market capitalizations. These personal holdings create a financial incentive for Mr. Cushner to recommend these securities to clients for purchase in a brokerage or Advisory Choice account or invest in on a client’s behalf in the Baird Private Investment Management program since purchasing low market capitalization securities may positively affect the price of the security he also owns. There is also a financial incentive for Mr. Cushner to recommend a client continue to hold or not proactively recommend a client sell one of these low market capitalization securities in a brokerage or Advisory Choice account or not sell a position on a client’s behalf in the Baird Private Investment Management program to avoid negatively affecting the price of his low market capitalization security. These financial incentives constitute a conflict of interest with his clients who hold one or more of these low market capitalization securities.
A listing of Mr. Cushner’s and his family’s holdings in these securities can be found here.
